1. Acceptance of Terms

Welcome to LeagueUp! These Terms of Service ("Terms") govern your use of the LeagueUp mobile application, website, and related services (collectively, the "Service") provided by LeagueUp, Inc., a Texas Limited Liability Company ("LeagueUp," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

2. Eligibility

2.1 Age Requirements

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.

We verify age through date of birth input during account registration. We do not currently permit users under 18 to create accounts or use the Service. We plan to support students under 18 in the future with appropriate safeguards.

2.2 Geographic Restrictions

The Service is currently available only in the United States and Australia. We reserve the right to restrict access from other territories.

2.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account by providing:

• A valid email address
• A unique username
• Your date of birth for age verification
• Other required profile information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

3.3 Username Policy

Usernames must not:

• Impersonate others
• Contain offensive or inappropriate content
• Violate any third-party rights
• Be misleading or deceptive

4. Description of Service

LeagueUp is a goal-tracking and accountability platform that enables users to:

• Set and track personal goals
• Join or create leagues with other users
• Participate in challenges with optional entry fees
• Track progress and submit proof of completion
• Engage with a community of goal-oriented individuals

LeagueUp is not a gambling platform and does not offer games of chance, fantasy sports, or skill-based competitions with prize payouts. Users do not compete against each other for money. Entry fees are used to support commitment and accountability for personal goals.

5. User Conduct and Content Guidelines

5.1 Prohibited Conduct

You agree not to:

• Violate any laws or regulations
• Post content that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity
• Post spam or unauthorized commercial content
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to any portion of the Service
• Use the Service for any illegal or unauthorized purpose
• Engage in any conduct that restricts or inhibits anyone's use of the Service

5.2 User-Generated Content

You retain ownership of content you post ("Your Content"). By posting content, you grant LeagueUp a non-exclusive, worldwide, royalty-free license to use, modify, publicly display, reproduce, and distribute Your Content on and through the Service.

For content posted in public leagues, you also grant other users the right to view and interact with Your Content as permitted by the Service's functionality.

5.3 Content Standards

All content must:

• Be accurate and truthful (especially proof submissions)
• Respect the rights of others
• Comply with our Community Guidelines
• Be appropriate for the age rating of the league

5.4 Proof Submissions

When submitting proof of goal completion:

• You must provide honest and accurate evidence
• Falsified proof may result in account penalties or termination
• You consent to other league members viewing your proof submissions

6. Content Moderation and Safety

6.1 Automated Content Moderation

We employ automated systems to detect and moderate inappropriate content, including:

• Profile pictures and images
• Text messages and posts
• Usernames and display names
• Goal descriptions and check-in content

6.2 Profile Picture Standards

Profile pictures must comply with the following guidelines:

Prohibited Content:

• Full nudity or sexual content
• Graphic violence or disturbing imagery
• Illegal activities or substances
• Hate symbols or discriminatory imagery
• Copyrighted material without permission

Age-Appropriate Content:

• Profile pictures are visible to users of all ages
• Content must be suitable for users 13 years and older
• Suggestive content may result in restricted visibility

6.3 Content Moderation Actions

Based on automated analysis and community reports, we may take the following actions:

Immediate Rejection:

• Content that clearly violates our guidelines will be automatically rejected
• Users will be notified and required to upload appropriate content

Shadow Restrictions:

• Content flagged as potentially inappropriate may be:
  • Hidden from public search results
  • Excluded from league discovery
  • Limited in public visibility
• Users with restricted content may have limited access to public leagues

Human Review:

• Borderline content may be flagged for human moderation
• Users will be notified if their content is under review
• Appeals process available for contested decisions

6.4 Age Ratings and League Standards

• Leagues may have specific age ratings (All Ages, 13+, 18+)
• Content standards vary based on league age ratings
• Adult-only leagues may have more relaxed content policies
• Users must comply with the most restrictive standard applicable

6.5 Reporting and Appeals

Reporting Inappropriate Content:

• Users can report content that violates community guidelines
• All reports are reviewed by our moderation team
• False reports may result in account penalties

Appeals Process:

• Users may appeal moderation decisions
• Appeals are reviewed by human moderators
• Response provided within 48-72 hours
• Clear explanation provided for all moderation decisions

6.6 Repeat Violations

Users who repeatedly violate content guidelines may face:

• Temporary content upload restrictions
• Permanent shadow banning from public features
• Account suspension or termination
• Loss of premium features

6.7 Age Verification

We verify all users are 18 or older during account creation. Any accounts found to belong to minors will be immediately terminated.

6.8 Automated Decision-Making

We use automated systems for:

• Content Moderation: AI analyzes images and text for inappropriate content
• Trust Score Calculation: Algorithm evaluates goal completion reliability
• Shadow Restrictions: Automated limiting of visibility for flagged content
• Engagement Analysis: ML models analyze behavior patterns for personalization

You have the right to:

• Request human review of automated decisions
• Understand how decisions affecting you were made
• Appeal content moderation or restriction decisions

7. Leagues and Challenges

7.1 League Participation

• Leagues may have specific rules and requirements
• You must comply with all league-specific rules
• League captains have authority to enforce league rules
• Violation of league rules may result in removal

7.2 Entry Fees and Challenge Commitments

Some leagues may require an entry fee to participate. The full entry fee amount will be clearly disclosed before joining. To build trust and commitment, we charge only a small platform fee (proportional to the entry fee amount) upfront through our secure payment partners.

Payment Obligations: By joining a league with an entry fee, you agree to pay the full entry fee amount within the existing timelines set forth by the league if you fail to complete your goals or violate league rules. This payment obligation exists regardless of the initial platform fee charged.

Trust and Accountability: The platform fee serves as a signal of commitment (e.g., "this person paid $1 to start, you can probably trust them to pay the full $10 if they fail"). This helps other users feel confident about joining leagues with you.

Appeals and Disputes: We maintain an appeals process for disputes related to goal completion, proof verification, and payment obligations. All decisions are subject to review through our moderation and appeals system.

LeagueUp is not a gambling platform and does not hold funds in escrow. Entry fees are not pooled into prize funds, and outcomes are based on personal goal achievement, not chance or competition with others.

7.3 Refund Policy

• Subscription refunds: Available at our discretion within 7 days of renewal
• League entry fees: Refundable within 7 days of league start date only
• No refunds after 7 days from league start
• Personal commitments between users are not eligible for platform refunds

8. Subscription and Payment Terms

8.1 Premium Services

Premium subscriptions provide access to:

• Advanced analytics
• Unlimited league participation
• Enhanced reminder and nudge features
• Additional customization options

8.2 Billing

• Subscription fees are billed monthly
• Prices are subject to change with notice
• You authorize us to charge your payment method automatically

8.3 Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• No partial refunds for unused time

9. Privacy and Data Use

9.1 Data Collection

We collect and process information as described in our Privacy Policy, including:

• Account information
• Goal and activity data
• Device information
• Usage analytics

9.2 Anonymous Data Use

We may use anonymized and aggregated data to:

• Improve the Service
• Develop new features
• Conduct research
• Generate insights about goal achievement

9.3 Personalization

With your consent (provided during onboarding or in settings), we may use your data to:

• Match you with compatible league members
• Provide personalized goal suggestions
• Customize your experience
• Optimize notification timing based on your activity patterns
• Recommend features and content based on engagement history

9.4 Behavioral Analytics and Machine Learning

We collect detailed engagement data to improve the Service, including:

• Check-in patterns and timing (most active hours, days)
• Feature usage and interaction quality scores
• Social engagement ratios and community participation
• Goal completion patterns and success predictors
• Streak maintenance and consistency metrics

This data is used to:

• Predict optimal times for reminders and nudges
• Identify users at risk of disengagement
• Personalize feature recommendations
• Improve goal achievement success rates
• Generate insights about effective accountability methods

You may opt out of behavioral analytics in your privacy settings.

9.5 Data Deletion

You may request deletion of your account and associated data by emailing delete@joinleagueup.com. We will process deletion requests in accordance with applicable law.

10. Intellectual Property Rights

10.1 LeagueUp Property

The Service and its original content (excluding Your Content) remain the property of LeagueUp and are protected by copyright, trademark, and other laws.

10.2 Feedback

Any feedback, suggestions, or ideas you provide about the Service become the property of LeagueUp and may be used without compensation to you.

11. Third-Party Services

The Service may contain links to or integrate with third-party services, including:

• Firebase (backend services)
• Google Analytics (usage analytics)
• Payment processors
• Social media platforms

Your use of third-party services is governed by their respective terms and privacy policies.

12. Disclaimers and Limitations of Liability

12.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

12.2 No Health or Professional Advice

The Service is not intended to provide medical, health, fitness, or professional advice. Always consult qualified professionals before making significant lifestyle changes.

12.3 User Interactions

We are not responsible for:

• The conduct of any user
• Any content posted by users
• Any losses related to user challenges or commitments

12.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEAGUEUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

13. Indemnification

You agree to defend, indemnify, and hold harmless LeagueUp from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third party right

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions.

14.2 Arbitration Agreement

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in Dallas, Texas, in accordance with the rules of the American Arbitration Association.

14.3 Class Action Waiver

You agree to resolve disputes only on an individual basis and not as part of any class or representative action.

14.4 Exceptions

The arbitration requirement does not apply to:

• Small claims court actions
• Injunctive relief for intellectual property violations

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through:

• In-app notification
• Prominent notice on the Service

Your continued use after changes constitutes acceptance of the modified Terms.

16. Termination

16.1 Your Right to Terminate

You may terminate your account at any time through account settings or by contacting us.

We may terminate or suspend your account immediately, without prior notice, for:

• Breach of these Terms
• Fraudulent or illegal activity
• Harmful conduct toward other users
• Repeated violations of league rules
• At our sole discretion for any reason

16.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and data (subject to legal requirements)
• You remain liable for any outstanding obligations

17. Age Restrictions

17.1 Adults Only

LeagueUp is currently restricted to users 18 years and older. We do not knowingly collect information from or provide services to anyone under 18. We plan to support students under 18 in the future with appropriate parental controls and safety features.

17.2 Verification

We reserve the right to verify age at any time and will terminate accounts of users found to be under 18.

18. General Provisions

18.1 Entire Agreement

These Terms constitute the entire agreement between you and LeagueUp regarding the Service.

18.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

18.3 Waiver

No waiver of any term shall be deemed a further waiver of any term.

18.4 Assignment

You may not assign or transfer these Terms. We may assign our rights to any successor in interest.

19. Payments & Legal Compliance

LeagueUp is a social accountability platform and is not classified as a gambling, fantasy sports, or gaming platform. We do not offer prize pools, sweepstakes, or chance-based contests.

All entry fees are used solely for goal accountability. Users are only eligible to receive back their own entry fee based on successful completion of their challenge.

LeagueUp charges a clearly disclosed platform fee at the time of entry. We comply with all applicable Stripe terms and card network rules.
